Inemmo Limited Training Services Terms & Conditions
All INEMMO training courses are subject to INEMMO Limited’s General Conditions of Service.
Booking Details
To reserve participant places on public courses, workshops or events, individuals should complete and return the booking form to INEMMO via email or, where available, use our online booking system. Bookings may also be made through official regional representatives where applicable.
All individual bookings must be accompanied by payment of the full programme fee unless otherwise agreed in writing. Applications submitted without payment will be considered provisional and may be prioritised behind confirmed bookings.
For company training, coaching, facilitation, consulting or assessment services, organisations should contact INEMMO directly to agree the scope of services. INEMMO will issue an invoice for the agreed fees and, unless otherwise stated in writing, payment is due upon receipt of invoice and prior to commencement of the programme or service.
Payments/Fees/Pricing
Payments should be made by bank transfer unless otherwise agreed.
All fees are quoted net of withholding tax, local taxes (where applicable) and local bank charges.
In the United Kingdom, VAT at the prevailing rate will apply where applicable.
Executive Coaching Programmes
Unless otherwise agreed in writing, the full fee for executive coaching programmes is payable in advance of the first coaching session.
Where alternative payment arrangements have been agreed, all payments must be made in accordance with the agreed schedule. INEMMO reserves the right to postpone or suspend coaching sessions where payments are overdue.
Withholding and other Local Taxes
For clients based outside the United Kingdom, all fees quoted are net of withholding tax, local taxes and local bank charges unless otherwise agreed in writing.
Where withholding tax is required by local legislation, the Client shall be responsible for ensuring that INEMMO receives the full invoiced amount after any deductions and shall provide evidence of payment of any withholding tax to the relevant authority.
Late Payment
INEMMO reserves the right to charge interest on all overdue amounts once agreed credit terms have expired. Interest shall be charged at 2.5% per calendar month or part thereof until payment is received in full.
Cancellation by Client/Participant
All cancellation requests must be submitted in writing to INEMMO.
For Courses and Workshops
Cancellation received 60 days or more before the commencement date will incur a 20% administration fee together with any costs incurred in providing pre-course materials.
Cancellation received less than 60 days before the commencement date will result in 100% of the programme fee becoming payable.
If a postponement is agreed and the programme is subsequently cancelled, 100% of the programme fee will remain payable.
For Executive Coaching
Cancellation or postponement requests received 7 calendar days or less before a scheduled coaching session will result in the full coaching session fee being payable.
INEMMO will endeavour to agree an alternative date and time where circumstances permit; however, rescheduling cannot be guaranteed and remains entirely at INEMMO’s discretion.
For All Services
If a participant or client fails to attend a scheduled programme, workshop, assessment, coaching session or other agreed activity, the full fee will remain payable.
Postponement by Client/Participant
INEMMO will endeavour to accommodate requests for postponement wherever reasonably possible.
For public programmes, postponement requests received within 60 days of the commencement date may incur a 20% administration charge together with any costs associated with pre-course materials already issued.
If a participant transfers to an alternative programme or date and subsequently cancels, the full programme fee shall remain payable.
Visas and Letters of Invitation
Participants requiring a visa to attend an INEMMO programme or event may request a letter of invitation following receipt of the applicable programme fee.
The letter serves only as supporting evidence regarding the purpose of the visit and does not guarantee the issuance of a visa.
Should a visa application be unsuccessful, INEMMO reserves the right to request evidence of the refusal before considering any refund request. Any refund will remain subject to the cancellation provisions contained within these Terms and Conditions.
Substitutions
A substitute participant from the same organisation may attend in place of the original participant at no additional charge, provided reasonable notice is given to INEMMO before the programme commencement date.
Programme Content
INEMMO continuously reviews and updates programme content, methodologies, materials and delivery approaches.
INEMMO reserves the right to modify programme content, facilitators, schedules or delivery formats where necessary to maintain quality, relevance and effectiveness.
Participants are expected to possess an appropriate level of English language proficiency to engage fully with programme activities, discussions and materials.
To maximise learning outcomes, participants are expected to attend all activities that form part of the programme.
Psychometric Assessments
Where psychometric assessments form part of the services provided, assessment licences, reports and associated materials shall remain subject to the terms and conditions of the relevant assessment publisher.
Assessment fees may become non-refundable once licences have been issued, questionnaires activated or reports generated.
Client Responsibilities
The Client is responsible for ensuring that any programme, workshop, assessment, coaching engagement or professional service is suitable for the intended participants.
Participants are responsible for complying with any venue rules, health and safety requirements and reasonable instructions provided by INEMMO or the venue operator.
Confidentiality
INEMMO shall treat information disclosed during coaching engagements and consultancy assignments as confidential and shall not disclose such information to third parties without consent except where disclosure is required by law, regulation, safeguarding obligations, professional standards or where there is a reasonable belief that there is a risk of harm to the individual or others.
Nothing in this clause prevents INEMMO from using anonymised information for quality assurance, supervision, professional development, research or marketing purposes where no individual or organisation can be identified.
Data Protection
Each party shall comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Personal data shall be processed only for the purposes of administering and delivering the contracted services and in accordance with INEMMO’s Privacy Policy.
Cancellation or Postponemtn of Services by Inemmo
INEMMO reserves the right to cancel, postpone or reschedule any programme, event or service where circumstances beyond its reasonable control make delivery impracticable or where minimum participant numbers have not been achieved.
In such circumstances, participants or clients will be offered an alternative date, a credit note or a refund of fees already paid.
INEMMO will endeavour to provide as much notice as reasonably possible and will not be liable for any consequential costs incurred by the Client or participant, including travel, accommodation or other associated expenses.
Force Majeure
Neither party shall be liable for any delay or failure in performing its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, epidemic, war, terrorism, civil unrest, industrial action, government action, power failure, telecommunications failure, transportation disruption or natural disaster.
Venue
INEMMO reserves the right to change the venue, delivery format or platform for any programme, event or service where circumstances require and without liability.
Intellectual Property
All intellectual property rights in course materials, assessment reports, presentations, workbooks, methodologies, tools and other materials supplied by INEMMO shall remain the property of INEMMO Limited or the relevant third-party owner.
Participants and clients may use such materials for their own personal or internal organisational development purposes only.
Materials may not be copied, reproduced, distributed, published, sold, licensed or made available to third parties without prior written consent.
Unlicensed reproduction of copyrighted materials may constitute a breach of copyright law.
Photography and Recording
Photographs or video recordings may be taken during public programmes, workshops or events for promotional, educational or marketing purposes.
Participants will be informed in advance and may request not to be included in any photographs or recordings.
No photographs or recordings from executive coaching engagements or private client programmes will be used without prior consent.
Limitation of Liability
INEMMO shall perform its services with reasonable skill and care.
To the fullest extent permitted by law, INEMMO’s total liability arising from any contract for services shall not exceed the total fees paid by the Client for the relevant services.
INEMMO shall not be liable for any indirect, consequential or special loss, including loss of profit, loss of business, loss of opportunity, loss of anticipated savings or loss of goodwill.
Nothing in these Terms and Conditions shall exclude or limit liability for death or personal injury caused by negligence, fraud or any liability that cannot legally be excluded.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Acceptance
These Terms and Conditions are legally binding upon registration for, purchase of, or acceptance of any services provided by INEMMO.
Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
